Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User" or "Customer") and Peoplely Ltd (trading as "PharmaTek"), a company registered in England and Wales.

1. Access to Services

PharmaTek provides a pharmaceutical intelligence and workflow platform. By accessing or using our services, you agree to be bound by these Terms. If you are entering into this agreement on force of a company or other legal entity, you represent that you have the authority to bind such entity.

2. Use Restrictions

You agree not to:

• Reverse engineer, decompile, or attempt to extract the source code of the software.
• Use the platform to build a competitive product or service.
• Scrape or mass-export data from the platform unless explicitly permitted by your subscription plan (e.g., Enterprise API access).
• Share login credentials with unauthorized users.

3. Intellectual Property

Peoplely Ltd retains all rights, title, and interest in and to the PharmaTek platform, including all related intellectual property rights. Customer retains all ownership rights to the data they upload ("Customer Data").

4. Confidentiality

Both parties agree to maintain the confidentiality of non-public information disclosed by the other party. PharmaTek treats all search queries, RFI contents, and dealroom data as strictly confidential.

5. Warranties & Disclaimers

The service is provided "as is" without warranties of any kind, whether express or implied. While we strive for high data accuracy using AI verification, PharmaTek does not guarantee that the market intelligence provided is error-free.

6. Limitation of Liability

To the maximum extent permitted by law, Peoplely Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom.
